Agency clause for the shared memory

For an agency, consent to the shared memory is given workspace by workspace, and it needs the consent of the client that owns the app. Add this clause to your contract or to an addendum, replacing the field in brackets.
The clause
- Purpose. The Agency uses a support platform operated by Omniselect di Nicola Alessi (the “Provider”), acting as the Agency’s sub-processor, to diagnose and fix the Client’s software. The platform offers a shared memory: abstract patterns of errors and solutions learned across the organizations that consent to it.
- Consent. The Client authorizes the Agency to enable the shared memory for the Client’s workspace. Without this consent the workspace neither contributes patterns nor receives them.
- What is shared. Only abstract patterns: the type of error, a normalized message without identifiers, the frameworks and libraries in use with their major versions, and the solution described in words. Never source code, file paths, names of functions or variables, names of the Client or of its customers, email addresses, URLs or other personal data.
- Anonymization. Each pattern is rewritten and filtered before it is stored, and it becomes visible to other organizations only after equivalent patterns come from at least 3 different organizations.
- Benefit. Diagnoses for the Client may start from known solutions seen in other apps with the same stack; they are hints, always verified in the Client’s code.
- Withdrawal. The Client may withdraw consent at any time by written notice to the Agency. The Agency disables the shared memory for the workspace within [number] working days; the Client’s contributions are then removed from the shared memory.
- Records. The Agency keeps a record of this consent and of its withdrawal, and shows it to the Client on request.
How to use it
- Replace the field in brackets and have the client sign the clause.
- Enable the shared memory for the client’s workspace only after the clause is signed: the setting records who enabled it and when.
- When a client withdraws, turn the setting off: the contributions of that workspace are removed.
